Iveco-Tata: Green light for the takeover bid, Exor pockets over 1 billion

The voluntary public tender offer by India's Tata Motors for Iveco Group has officially commenced. The transaction, valuing the Turin-based company at 3.82 billion euros, sets a price of 14.10 euros per share. Exor N.V., the holding company of the Agnelli-Elkann family, has confirmed its irrevocable commitment to sell its 73.3 million shares, thereby receiving 1 billion and 34 million euros.

The tender offer, which has already obtained the necessary authorizations from the European Central Bank and Consob, will be active from September 7 to October 26, 2026. The extraordinary shareholders' meeting of Iveco is scheduled for October 16. The new combined group, with its headquarters remaining in Turin, will manage revenues exceeding 21 billion euros annually and sell over 550,000 commercial vehicles per year.

The merger between Iveco and Tata Motors stems from the need to create a global commercial vehicle giant capable of competing in increasingly aggressive markets. Iveco, a historic Italian brand with roots in Turin, has long been part of the Agnelli family's portfolio through the holding company Exor. Tata Motors, on the other hand, is an Indian automotive giant with a strong presence in Asian and African markets.

The operation is the result of a long-term strategy to balance Iveco's solid European presence with access to the growth markets where Tata is a leader. The agreement stipulates that Iveco's headquarters will remain in Turin and that there will be no plant closures or workforce reductions as a direct consequence of the integration. This move marks a transformative shift for Italian industry, shifting control of a piece of national industrial history toward new global horizons.
